Terms of Service

By accessing or using Hagonel ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

Hagonel is an AI-powered business operating system that integrates with your existing communication and productivity tools. The Service is designed for business use and is not intended for consumers or personal use.

Hagonel provides an "Invisible Business OS" that operates within Slack, Rocket.Chat, and other communication platforms. The Service includes:

• AI-powered workflow orchestration via Model Context Protocol (MCP)
• Institutional Memory through Knowledge Graph technology
• Human-in-the-Loop consent workflows for governed autonomy
• Audit trails and compliance reporting
• Integration with third-party SaaS tools and custom APIs

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Ensuring compliance with applicable laws in your jurisdiction
• Reviewing and approving AI-proposed actions through the Consent Gate
• Proper configuration of integration permissions and data access

Hagonel employs a "Consent Gate" architecture where no external actions (sending emails, processing payments, modifying external systems) are executed without explicit human approval via a "Proceed" command.

Hagonel operates on a 100% Non-Custodial data model:

• Your data remains in your systems. Hagonel accesses it via API only when needed.
• Knowledge Graph data is stored in your designated infrastructure (cloud or self-hosted).
• You retain full ownership and control of all business data and institutional memory.
• We do not train our models on your proprietary data.

For enterprise deployments requiring HIPAA compliance, we partner with proxiML to provide cryptographically secure, air-gapped AI Clean Rooms.

Hagonel strives for high availability but depends on third-party platforms (Slack, integrated SaaS tools) for core functionality. We do not guarantee uninterrupted service and are not liable for outages caused by:

• Host platform (Slack/Rocket.Chat) downtime or API changes
• Third-party integration service disruptions
• Network issues outside our control
• Scheduled maintenance (communicated in advance)

To the maximum extent permitted by law, Hagonel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Hagonel's total liability for any claims under these Terms shall not exceed the amount you paid to Hagonel in the twelve (12) months preceding the claim.

Hagonel is designed with EU AI Act compliance in mind:

• Full audit trails for all AI-assisted decisions
• Explainable AI through Knowledge Graph path tracing
• Mandatory human oversight via the Consent Gate
• Documentation of AI system purposes and limitations

Enterprise customers receive additional compliance documentation and support for regulatory audits.

Either party may terminate this agreement with 30 days written notice. Upon termination:

• Your access to the Service will be revoked
• You may export your Knowledge Graph data within 30 days
• Audit trail data will be retained for 90 days for compliance purposes
• All outstanding fees become immediately due
